Terms of Service

Last updated: October 16, 2026

These Terms of Service (“Terms”) are an agreement between Clinicly Inc. d/b/a STALLION, a corporation incorporated under the laws of Ontario, Canada (“Provider”, “we”, “our”), and the remodeling contractor or company that creates a STALLION account (“Contractor”, “you”). By creating an account or using the service, you agree to these Terms.

1. Services

STALLION advertises to homeowners who are planning kitchen and bathroom remodels. When a homeowner submits a request and the homeowner's ZIP code falls inside the service area Contractor has set (a base ZIP code and a radius in miles), the request is routed to Contractor and to no other contractor. It is never resold or shared. The homeowner is then invited to book a free in-home estimate by choosing an open time from Contractor's availability. The booked appointment is added to Contractor's dashboard and, if a calendar is connected, to Contractor's calendar. Provider is a lead generation and appointment-booking service. It is not a contractor, does not perform or supervise remodeling work, and is not a party to any contract between Contractor and a homeowner.

2. Sit-Downs

A “sit-down” is an in-home appointment between Contractor and a homeowner who asked for a kitchen or bathroom remodel, booked through STALLION for a specific date and time at an address the homeowner provides. Receiving a homeowner request costs nothing. Only a booked sit-down is charged, and the charge is made when the homeowner books the time (Section 3). After a booking, a sit-down ends in one of these ways:

  • Held. The sit-down took place, or the homeowner was available and Contractor did not attend (see Section 4), and Contractor confirms “It happened”. A sit-down that Contractor does not confirm within 24 hours after its scheduled end time is settled as held. The payment made at booking stands.
  • No-show. The homeowner did not show up and Contractor confirmed “Homeowner didn't show” in time under Section 3. The payment made at booking becomes one show credit.
  • Canceled by the homeowner. The homeowner canceled before the sit-down. This is not a no-show, and the payment made at booking becomes one show credit. The time becomes available again.
  • Rescheduled by the homeowner. The homeowner moved the appointment to another time. It remains the same sit-down with the same payment, and no new charge is made.

3. Pricing, Billing & Show Credits

  • $250.00 USD per booked sit-down. This is the only charge for the service.
  • No other fees. There is no retainer, setup fee, subscription, minimum commitment, charge for receiving a homeowner request, or commission on jobs Contractor wins. Provider covers the advertising cost. A card verification charge of $1.00 USD may be made when Contractor activates its account.
  • When a sit-down is charged. A sit-down is charged to the payment method on file (a bank account by ACH, or a card) when the homeowner books a time with Contractor. If Contractor has a show credit, the credit is applied first and no card or bank account is charged for that sit-down. Moving a booked sit-down to another time keeps the same sit-down and the same payment. Nothing further is charged after the visit.
  • Authorization. Contractor authorizes Clinicly Inc. d/b/a STALLION to charge the payment method on file $250.00 each time a homeowner books a sit-down with Contractor (plus the $1.00 USD verification charge at activation), which varies with the number of sit-downs booked, until Contractor revokes the authorization in account Settings or by emailing operations@cliniclydistribution.com. Revocation applies to sit-downs booked afterwards and does not reverse charges already made.
  • Confirming the outcome. After a sit-down, Contractor confirms how it went from the sit-down's page in the platform, from the scheduled start time until 24 hours after the scheduled end time: “It happened” or “Homeowner didn't show”. A sit-down that Contractor does not confirm within that period is settled as held.
  • Show credit. Each confirmed no-show, and each sit-down canceled by the homeowner, adds one show credit to Contractor's account. A show credit is applied automatically to Contractor's next sit-down, before any card or bank account is charged. A show credit has no cash value and is not refundable to the card or bank account, and it is Contractor's sole remedy for a no-show or a homeowner cancellation. A show credit is added only if the payment for that sit-down went through (including a sit-down covered by an earlier show credit); if the payment failed, no credit is added.
  • Disputed or abusive reports. Provider decides any dispute about whether a homeowner showed, using the booking record, communications with the homeowner and any other information it reasonably has. Provider may review no-show reports and reverse any it finds to be incorrect or abusive. In that case the sit-down is treated as held and the show credit it added is removed. Repeated or bad-faith reports may lead to suspension under Section 5.
  • Homeowner cancels or reschedules. If the homeowner reschedules, the sit-down keeps the same payment and no new charge is made. If the homeowner cancels, the payment becomes one show credit (see “Show credit” above), not a refund to the card or bank account.
  • Failed payments. A booking stands even if the charge for it fails. Provider may retry the charge, and two consecutive failed charges pause Contractor's account until the payment method works.
  • No guarantee of results. Provider does not guarantee how many homeowners will book, how many will show, whether any sit-down will result in an estimate, a signed contract or a job, or the value of any job. Whether a sit-down converts depends on Contractor's estimate, pricing, availability and the homeowner's decisions.
  • Chargebacks. Disputes about a sit-down are resolved through the outcome confirmation and show credit process above, not by payment reversal. Contractor agrees not to initiate a chargeback, payment reversal, or ACH return against a valid sit-down charge. Provider may contest an unauthorized reversal using booking, calendar and communication records as evidence and may recover associated chargeback fees and collection costs from Contractor.

4. Availability, Bookings & Calendar

  • Availability. Contractor sets weekly hours, sit-down length, buffer time, minimum notice and how far ahead homeowners can book. Homeowners can book any open time within those settings, and Contractor is expected to attend the sit-downs booked.
  • Calendar connection. Contractor may connect a Google Calendar or Outlook calendar. Provider then reads the busy or free status of Contractor's calendar (the start and end times of events, not their titles, descriptions or attendees) so that homeowners are only offered times Contractor is free, and creates an event on that calendar for each sit-down booked, updating or deleting it if the sit-down is moved or canceled. The event contains the homeowner's name, phone number, email address, the project and the address for the visit. Without a connected calendar, Provider uses Contractor's weekly hours and the sit-downs already booked through STALLION. Contractor can disconnect the calendar at any time in Settings. A sit-down booked at a time that was in fact busy on a calendar Provider could not see remains Contractor's responsibility.
  • If Contractor cannot attend. If Contractor cannot attend a booked time, it must contact support at least 24 hours before the sit-down so that it can be rebooked with the homeowner. A sit-down that Contractor misses without that notice stays paid and earns no show credit, because the homeowner kept the time and was turned away.
  • Homeowner data. The homeowner's contact details and address may be used only for the sit-down and the homeowner's project (Section 7).

5. Term & Cancellation

  • This is a no-commitment service with no minimum term. Contractor may pause new bookings or cancel at any time from account Settings.
  • Cancellation stops routing and new bookings. Sit-downs already booked stay on the schedule unless Contractor contacts support to have them rebooked under Section 4, and sit-downs booked before cancellation remain paid (any show credit they earned stays on the account).
  • Provider may suspend or terminate service immediately for failed payment, misuse of homeowner data, abuse of the no-show process, or material breach of these Terms.

6. TCPA & Consent

Homeowner requests are generated in line with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and applicable state consumer protection laws. Each homeowner request carries a consent certificate recording the IP address, user agent, timestamp, ad attribution, and the exact consent language the homeowner was shown. Contractor can retrieve it as a record of the homeowner's consent. The consent given covers contact about the homeowner's remodel project and the scheduling of a free in-home estimate by phone, text and email. Contractor is responsible for its own compliance with the TCPA, Do Not Call rules, and state telemarketing and messaging laws when it contacts homeowners, including honoring opt-out requests promptly.

7. Contractor Responsibilities

  • Hold and maintain all licenses, registrations, permits, bonds and insurance required to perform remodeling work where the homeowner is located, and comply with all applicable state and local home-improvement and contractor-licensing laws.
  • Attend booked sit-downs on time, give honest estimates, and provide contracts, permits and workmanship to the homeowner. Contractor is solely responsible for the work it performs and for its dealings with homeowners.
  • Contact homeowners lawfully and respect any request to stop contacting them.
  • Maintain a valid payment method on file.
  • Report a no-show only when the homeowner did not show, and keep the calendar and availability settings accurate.
  • Use homeowner data (name, phone, email, address, project details) only for the sit-down and the homeowner's project. Never share, resell, or distribute homeowner data received from Provider, or use it for unrelated marketing.
  • Handle homeowner data in accordance with applicable privacy laws.

8. Provider's Role

Provider is not a contractor and is not a party to any agreement between Contractor and a homeowner. Provider does not vet, license, endorse or guarantee Contractor or any homeowner, does not give construction, legal or financial advice, and does not control how Contractor performs its work. Contractor will indemnify Provider against claims arising from Contractor's work, its dealings with homeowners, or its non-compliance with the laws referred to in Sections 6 and 7.

9. Limitation of Liability

Provider's total liability under these Terms shall not exceed fees paid by Contractor in the three (3) months preceding the claim. Provider is not liable for indirect, incidental, consequential, or punitive damages, and makes no guarantee regarding booking volume, show rate, conversion rate, job value, or the outcome of any sit-down.

10. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada. Disputes shall be resolved by binding arbitration in Mississauga, Ontario, in accordance with the rules of the ADR Institute of Ontario.
